Public Offer for Participation in the Promotional Campaign “Initial Setup by CS-Cart Experts”

1. General Provisions

1.1. This Public Offer for Participation in the Promotional Campaign “Initial Setup by CS-Cart Experts” (the “Offer”) sets forth the terms and procedure for participation in the promotional campaign “Initial Setup by CS-Cart Experts” (the “Campaign”).
1.2. The Offer is published on the Organizer’s website and applies to persons who meet the eligibility criteria for campaign participants and satisfy the Campaign conditions set out in this Offer.
1.3. The Campaign period is from 12:00 a.m. PT time on April 15, 2026, through 11:59:59 p.m. PT time on May 29, 2026, inclusive.
1.4. Participation in the Campaign constitutes full and unconditional acceptance of this Offer to the extent it governs the Campaign, as well as acceptance of the applicable license terms, technical support terms, privacy documents, and data processing terms referenced in this Offer.
1.5. The terms of this Offer become binding on the Organizer as of the date of publication on the Organizer’s website and remain effective solely during the Campaign period specified in Section 1.3 of this Offer.


2. Definitions

2.1. Organizer means BOLIDE NETWORK LLC, registered at 815 E ST, #12709, SAN DIEGO, CA, 92112, USA, hereinafter referred to as the “Organizer”.
2.2. Campaign Participant means a person to whom, during the Campaign period, the Organizer grants a license to use one of the Programs participating in the Campaign and who satisfies all conditions set out in this Offer.
2.3. Organizer’s Website means the official website where this Offer, the Campaign description, and the participation procedure are published: https://www.cs-cart.com/free-setup-offer 
2.4. Programs means the software programs participating in the Campaign:
·   Multi-Vendor Ultimate (Annual Subscription);
·   Multi-Vendor Ultimate (Lifetime);
·   Multi-Vendor Unlim (Lifetime).
2.5. Initial Setup Package means a package of initial setup and configuration activities for the Program or Programs, provided to the Campaign Participant as part of the overall commercial offer described in this Offer, in the scope determined by the Organizer in the Campaign description, invoice, proposal, correspondence with the customer, or another Organizer document.
2.6. Applicable Documents means the documents accepted by the Campaign Participant in connection with the grant of a license for the relevant Programs and, where applicable, technical support services:

3. Campaign Terms

3.1. The Campaign applies to the following Programs:
·   Multi-Vendor Ultimate (Annual Subscription);
·   Multi-Vendor Ultimate (Lifetime);
·   Multi-Vendor Unlim (Lifetime).
3.2. To participate in the Campaign, the Campaign Participant must, during the Campaign period:
3.2.1. Place an order and pay in full for the grant of a license to use one of the Programs listed in Section 3.1 of this Offer.
3.2.2. Accept this Offer and the Applicable Documents specified in Section 2.6 of this Offer at the time of placing the order.
3.2.3. Provide the Organizer with accurate, complete, and up-to-date information reasonably required for the performance of the Campaign, and, if necessary, provide all requested access credentials, materials, technical information, and other data required by the Organizer to perform the Initial Setup Package.
3.3. The Initial Setup Package may be used by the Campaign Participant only within the following periods:
·   within 30 calendar days after the grant of a license for Multi-Vendor Ultimate (Annual Subscription);
·   within 90 calendar days after the grant of a license for Multi-Vendor Ultimate (Lifetime) or Multi-Vendor Unlim (Lifetime).
3.4. The Initial Setup Package is provided on an “as is” basis. The Organizer’s ability to complete the setup in the full stated scope depends on the Campaign Participant’s timely provision of accurate data, required access credentials, materials, and technical information, where requested by the Organizer.
3.5. The Organizer may determine the reasonable scope, sequence, timing, and method of delivering the Initial Setup Package based on its available resources, the completeness of the information provided, and technical feasibility.
3.6. The Initial Setup Package forms an integral part of the overall commercial offer for the grant of a license to use the relevant Program and is provided only together with such license. The total price of the overall commercial offer is determined taking into account all of its components, including the Initial Setup Package. The overall commercial offer is not subject to refund, exchange, cash compensation, substitution, or cash payout.
3.7. Licenses to use the Programs granted under the Campaign together with the Initial Setup Package are non-refundable.
3.8. The Organizer may refuse to provide the Initial Setup Package in whole or in part, or may discontinue its provision, if:
·   the Campaign Participant fails to satisfy any of the Campaign conditions;
·   the Campaign Participant fails to provide the required access, data, or documents;
·   the information provided by the Campaign Participant is inaccurate, incomplete, or misleading;
·   the setup becomes impossible due to circumstances beyond the Organizer’s reasonable control; or
·   the Campaign Participant breaches the Applicable Documents referred to in Section 2.6 of this Offer.


4. Acceptance and Incorporation

4.1. Participation in the Campaign is voluntary.
4.2. Acceptance of this Offer is deemed to occur when the Campaign Participant takes actions evidencing agreement to the Campaign terms, including placing an order, paying for the grant of a license to use the relevant Program, checking consent boxes, or taking any other actions expressly designated by the Organizer as a method of acceptance.
4.3. Upon the grant of a license to use the relevant Program, the Campaign Participant is deemed to have accepted and agreed to be bound by the following documents, to the extent applicable:

4.4. The Campaign Participant acknowledges that, prior to accepting this Offer, it had the opportunity to review this Offer and the documents listed in Section 4.3 and agrees to them in full, without reservations or exclusions.


5. Privacy and Data Processing

5.1. For purposes of participation in the Campaign, granting licenses to the Programs, providing the Initial Setup Package and communicating with the Campaign Participant, the Organizer may process personal data of the Campaign Participant and its representatives to the extent reasonably necessary for entering into and performing the relevant contractual arrangements.
5.2. Any processing of personal data in connection with the Campaign shall be governed by the Organizer’s Privacy Policy and Data Processing Agreement, each as referenced in Sections 2.6 and 4.3 of this Offer.
5.3. By accepting this Offer, the Campaign Participant confirms that it has had the opportunity to review the privacy and data processing documents referenced herein and agrees that personal data may be processed as reasonably necessary for administration of the Campaign, delivery of the Initial Setup Package, and performance of the Organizer’s related contractual obligations.


6. Final Provisions

6.1. The Organizer may amend this Offer by publishing a revised version on the Organizer’s website. Any such amendments shall not apply to Campaign Participants that fully satisfied the Campaign conditions before the publication date of the relevant amendment.
6.2. The Organizer may terminate the Campaign early, suspend it, or amend specific Campaign terms if this is expressly stated on the Campaign page or is required for technical, legal, or commercial reasons, provided that the rights of Campaign Participants who have already satisfied the Campaign conditions are observed.
6.3. To the extent not expressly governed by this Offer, the parties shall be governed by the Applicable Documents referred to in Sections 2.6 and 4.3 of this Offer and the applicable law specified by the relevant contractual documents.
